Terms of Service

Please read these Terms of Service ("Terms") carefully before accessing or using the VirtuPath AI platform ("Platform", "Service", "we", "us", or "our"). These Terms constitute a legally binding agreement between you and Arian S. Shala B.I., the entity operating VirtuPath AI. By accessing or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes.

2. Eligibility

You must be at least 16 years of age to use this Platform. By agreeing to these Terms, you represent and warrant that you meet this eligibility requirement and that you have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Use of the Platform

You agree to use VirtuPath AI solely for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform in any way that violates applicable local, national, or international law or regulation.
• Attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems.
• Transmit unsolicited or unauthorised advertising, promotional material, or spam.
• Engage in conduct that restricts or inhibits any other user's enjoyment of the Platform.
• Reverse-engineer, decompile, or attempt to extract source code from the Platform.
• Use automated tools or scripts to scrape, crawl, or interact with the Platform without prior written consent.

4. Account & Access

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up-to-date at all times. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@virtupathai.com of any unauthorised use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.

5. Subscription & Payments

Certain features of the Platform require a paid subscription. All fees are stated in euros (€) and are exclusive of any applicable taxes unless otherwise stated. Payments are processed securely through our payment providers. By subscribing, you authorise us to charge your chosen payment method on a recurring basis in accordance with your selected plan.

You may cancel your subscription at any time; however, cancellations take effect at the end of the current billing period and no pro-rated refunds will be issued for unused time. Refunds are assessed on a case-by-case basis in accordance with our Refund Policy. Please note that payments made via cryptocurrency are non-refundable due to the irreversible nature of blockchain transactions.

6. Intellectual Property

All content on the Platform — including but not limited to AI-generated materials, text, graphics, logos, icons, images, audio clips, software, and the overall design and compilation of the Platform — is the exclusive property of Arian S. Shala B.I. or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for personal, non-commercial purposes only. Any other use, reproduction, or distribution of Platform content without our prior written consent is strictly prohibited.

7. AI-Generated Content

The Platform incorporates artificial intelligence features that may generate personalised recommendations, training plans, and other content. While we strive to ensure accuracy, AI-generated content is provided for informational purposes only and does not constitute professional advice. VirtuPath AI disclaims all liability for decisions made based solely on AI-generated output. You retain responsibility for evaluating the suitability of any AI-generated content for your individual circumstances.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. We are committed to handling your personal data in compliance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.

9. Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. To the fullest extent permitted by law, Arian S. Shala B.I. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of, or inability to use, the Platform.

10. Termination

We reserve the right, in our sole discretion, to suspend or permanently terminate your access to the Platform at any time, with or without notice, for any reason including — but not limited to — a breach of these Terms, fraudulent activity, or conduct we reasonably believe is harmful to other users or the Platform. Upon termination, all licences granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, and limitations of liability.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kosovo, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the competent courts of Kosovo.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice on the Platform. Your continued use of the Platform after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
